Legal terms and conditions governing our professional services, establishing clear frameworks for our business relationships under Swiss law
These terms and conditions govern the provision of services by Amforc Ltd., a company incorporated under Swiss law with its registered office at Eichweg 2, 8864 Reichenburg, Switzerland.
1. Scope of Services
Amforc provides node infrastructure services, investment advisory services, and related professional services ("Services") to clients in accordance with these Terms and any applicable service agreements.
For the avoidance of doubt, Non-Custodial Staking Services are a purely technical service to facilitate protocol interactions. Amforc does not provide custody, deposit-taking, brokerage, or payment services.
The specific scope of Services will be defined in individual service agreements, statements of work, or engagement letters entered into between Amforc and the client.
Non-Custodial Staking – Specific Terms
- No Custody/Key Control: Clients connect and use their own wallets; Amforc never has access to private keys and cannot initiate transactions on a client’s behalf;
- Protocol & Third-Party Dependencies: Staking is executed on public blockchain protocols and may require third-party wallet software or browser extensions;
- Protocol rules, parameters and rewards are set by the respective networks and may change at any time;
- Risks: Staking involves material risks including reduced rewards, lock-ups/unbonding periods, chain reorganisation/forks, governance changes, slashing, validator downtime, software or network failures. Rewards are variable and not guaranteed;
- Unbonding/Lock-ups: As of 17 October 2025, the current unbonding period is 28 days on Polkadot (DOT) and 7 days on Kusama (KSM); a “fast-unstake” may be available subject to protocol conditions. These timelines are protocol-driven and may change.
- Fees are exclusive VAT and any other taxes, if any;
- Client Responsibilities: Clients are responsible for wallet security, private keys/seed phrases, on-chain actions, network fees, tax reporting, and compliance with protocol and applicable laws;
- Service Availability: Amforc operates validators on a best-efforts basis but does not warrant uninterrupted availability;
- No Fiduciary/No Advice: Information presented on the website (including any yields, rankings, or analytics) is informational only and does not constitute investment, legal, or tax advice;
- Eligibility and Restrictions: Amforc may decline or restrict access to its Services at any time.
2. Client Obligations
Clients agree to:
- Provide accurate and complete information necessary for the provision of Services;
- Cooperate with Amforc in the performance of Services;
- Pay all fees and expenses in accordance with agreed terms;
- Comply with all applicable laws and regulations;
- Maintain the confidentiality of proprietary informatippon received from Amforc;
- Maintain secure custody of wallets, private keys and seed phrases; Amforc cannot recover lost credentials.
3. Fees and Payment
Fees for Services will be as agreed in the applicable service agreement. Unless otherwise specified, fees are due immediately.
Amforc reserves the right to suspend Services in the event of non-payment of outstanding fees after appropriate notice.
4. Intellectual Property
All intellectual property rights in materials, methodologies, and deliverables created by Amforc in the course of providing Services remain the property of Amforc, except as otherwise agreed in writing.
Clients are granted a non-exclusive license to use deliverables for their intended business purposes, subject to these Terms.
5. Confidentiality
Both parties acknowledge that they may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and use it solely for the purposes of the engagement.
This obligation survives termination of the engagement and continues for a period of five (5) years thereafter.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Amforc's total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by the client for the specific Services giving rise to the claim.
In no event shall Amforc be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Including but not limiting the foregoing, Amforc shall not be liable for i) changes in protocol rules or parameters (including rewards, nomination, or unbonding mechanics), ii) slashing or other protocol-level penalties, iii) network outages, forks, or third-party wallet malfunctions, or iv) losses resulting from compromised client devices, wallets, private keys, or seed phrases.
7. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or network failures.
8. Termination
Either party may terminate an engagement by providing written notice as specified in the applicable service agreement.
Termination does not relieve either party of obligations incurred prior to the effective date of termination.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with Swiss law, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Switzerland.
10. Amendments
These Terms may only be amended by written agreement signed by both parties. Amforc reserves the right to update these Terms from time to time, with notice provided to clients of any material changes.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
